Anti-Bribery and Anti-Corruption

We maintain a thorough, separate, and distinct Anti-Bribery and Anti-Corruption Policy, which is appended to our Code of Ethics and is included in induction training of all new employees. This policy reiterates Nevsun’s commitment to full compliance by its employees, officers and directors in all their business relationships — to the Company and its employees, officers, and directors in all their business relationships—to the Corruption of Foreign Public Officials Act (Canada), the US Foreign Corrupt Practices Act, the UK Bribery Act, as well as any local anti-bribery or anti-corruption laws. This policy supplements the Code of Ethics and all applicable laws and provides guidelines for full compliance with such laws and company policies applicable to the Company’s operations.

Internal financial controls are in place to monitor all aspects of the business that could potentially be affected by incidents of corruption. All our business units, at the corporate level and at the Bisha Mine, are reviewed regularly for corruption-related risks.

We have made no payments to any officials or representatives of the State of Eritrea, which also takes a strong stand on corruption; any such illegal activities could result in the loss of the Bisha mining license.
